The following terms (hereinafter referred to as "Terms") govern the use of the service https://goodpromo.cc (hereinafter referred to as "GoodPromo" or "Service"), provided by Sole Proprietor Gural Oleksandr, EDRPOU: 3298710719 (hereinafter referred to as "Company," "we," "us," or otherwise, depending on the context).

These Terms apply to all visitors to the website https://goodpromo.io (hereinafter referred to as "Site" or "Website"), users, and all others who have access to GoodPromo (hereinafter referred to as "you," "your," "Client," or "User," or otherwise, depending on the context). If you are an agent or employee of a User, you personally represent and warrant to us that you are authorized to represent this party and to fulfill obligations and/or take actions in accordance with these Terms.

GoodPromo, among other things, allows Users to create their own websites hosted at a subdomain URL of GoodPromo or on their own domain (hereinafter referred to as "Personal Site" or "Personal Website"), as well as online forms, pop-ups, and chatbots.

The following Terms may be changed by the Company at any time at our discretion by updating the Terms on our Site without prior notice to the Users. The Terms take effect immediately after their publication or any changes on the Site. By continuing to use the Website and/or GoodPromo, you automatically agree to the updated Terms. If you do not agree with the Terms, you should immediately stop using GoodPromo.

1. Use of GoodPromo

1.1. By agreeing to these Terms, you confirm that (A) the information provided by you is accurate and complete in the registration form, (B) you will maintain the accuracy of such information; (C) you are at least 18 years old, legally competent, and have the authority to accept these Terms, and (D) the use of GoodPromo does not violate any applicable laws or regulations.

1.2. Our "Privacy Policy" is incorporated into these Terms by reference (https://goodpromo.io/privacy-policy). By using the Service or the Website, you agree to the use of your personal information, including but not limited to email addresses or other contact information, in accordance with our "Privacy Policy."

1.3. You are responsible for maintaining the security and confidentiality of all login credentials, passwords, and other access tools for the Service that are in your possession from unauthorized use. The Company is not liable for any damages caused by unauthorized use of a User's account.

1.4. You agree not to use or allow the use of the Service directly or indirectly for:

1.4.1. Uploading or distributing computer viruses, worms, Trojan horses, malware, spyware, or other harmful code;

1.4.2. Infringing intellectual property rights or unlawfully appropriating trade secrets of any third party;

1.4.3. Conducting any business or operation in violation of applicable law.

1.5. You are not allowed to:

1.5.1. Rent, lease, lend, sell, resell, sublicense, distribute, or otherwise transfer any licenses granted to you or any materials contained in GoodPromo;

1.5.2. Use GoodPromo for any illegal purposes, harm or violate any local, state, national, or international law, including but not limited to laws governing intellectual property and other proprietary rights, as well as data protection and privacy;

1.5.3. Remove, refuse to comply with, disable, damage, or otherwise interfere with any security-related features of GoodPromo, features that prevent or restrict the use or copying of any content available through GoodPromo, or features that impose restrictions on the use of GoodPromo;

1.5.4. Reprogram, decompile, disassemble, decrypt, analyze, or otherwise attempt to discover the source code of the Service, Website, or any part thereof;

1.5.5. Modify, adapt, translate, or create derivative works based on GoodPromo;

1.5.6. Use GoodPromo to provide a similar service to a third party or use it to compete with our Service;

1.5.7. Use the Site or GoodPromo or our content on any platform or website not provided or approved by us, misrepresent or misuse GoodPromo, or otherwise violate anyone’s rights or any applicable laws.

1.6. Failure to comply with any of these rules may result in the cancellation of the User's account and termination of access to the Service.

1.7. We reserve the right to unilaterally refuse the use of the Service without any compensation or refunds to anyone who supports aggression against Ukraine (including paying taxes, fees, or other payments in favor of the aggressor country) or is related to the business of the aggressor country and countries supporting aggression against Ukraine.

2. Payment

The Company provides a 7-day free trial period for the use of the Service. During this period or after its expiration, you may subscribe to a paid plan to continue using the Service.

3. Intellectual Property

3.1. Information and materials, including but not limited to HTML, text, audio, music, video, photos, graphics, messages, tags, interactive features, news, data sets, software, code, scripts, instructions, and other content available on the Website (collectively referred to as "Company IP"), are copyrighted by the Company, and the Company retains all intellectual property rights to the Company IP.

3.2. Except as expressly permitted in these Terms, any use of Company IP may violate copyright and/or other laws.

3.3. The User grants the Company a limited, royalty-free, non-exclusive license to use trademarks, trade names, logos, and URLs of the User's Website, as well as brief information about the User's professional activities, for:

● Placement on the Company's Website;
● Publication in any cases (reports, publications, professional and other publications, social networks, media, and the Internet);
● Placement in the Company's promotional materials;
● Other informational and marketing purposes.

3.4. GoodPromo provides you with the ability to create your Personal Website hosted at a URL of one of the GoodPromo service domains – https://goodpromo.site or to connect your own domain for displaying your Personal Website.

3.5. According to the agreement between the Company and you, you must own all content uploaded or created by you, including but not limited to any texts, photos, images, music, videos, etc., unless the content belongs to third parties or has been uploaded from any public sources.

3.6. The following types of content are prohibited from being published on GoodPromo:

● Adult Content: pornography, photos, videos, and other forms of media files containing nudity in a sexual context and/or exposed genitals.
● Copyrighted Content: any content protected by intellectual property laws that you do not own rights to.
● Black-Hat SEO/Spam Content: any content primarily aimed at gaining search engine rankings or providing irrelevant advertising.
● Illegal Content: any type of content that may violate applicable laws of Ukraine or other countries.
● Phishing: any type of content that may encourage users to provide their personal information for improper use that may be harmful to them or illegal.
● Fraud: questionable schemes (e.g., financial pyramids) that promise quick wealth.
● Harmful Content: any content that may be harmful to the health of users, such as causing seizures.
● Advertising of Illegal Products: content related to the advertising of products whose sale is prohibited or restricted under applicable law, including weapons, drugs, counterfeit goods, stolen items, items that violate privacy rights, or may be considered offensive.

3.7. GoodPromo has the right to temporarily suspend or completely terminate any account and/or your Personal Website that has been found to host the aforementioned content without prior notice. You may appeal this decision within 14 days after the suspension or termination of the account and/or your Personal Website. After the 14-day period, this action is fully completed and cannot be reversed.

4. Third-Party Services

4.1. GoodPromo may provide Users with links to websites or resources on the Internet ("Third-Party Materials"). Since we do not control the content of Third-Party Materials, you acknowledge and agree that we are not responsible for the availability of such material and its content, advertising, products, or other materials available on the Website or through Third-Party Materials.

4.2. If you access Third-Party Materials through the Service, you do so at your own risk, and you understand that these Terms do not apply to your use of such Third-Party Materials. You release us from any liability arising from the use of any Third-Party Materials.

4.3. All trademarks and service marks of third parties are their property, and you may use them only with prior consent and in the ways and for the purposes expressly stated in such consent.

WE DO NOT GUARANTEE THAT GOODPROMO WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT THE USE OF GOODPROMO OR ANY OF ITS CONTENT, SEARCH, OR LINKS WILL PROVIDE SPECIFIC RESULTS. GOODPROMO IS PROVIDED "AS IS" AND "AS AVAILABLE". WE ARE NOT RESPONSIBLE FOR ANY LOSSES RESULTING FROM THE USE OF GOODPROMO, INCLUDING DAMAGES (DIRECT, INDIRECT, INCIDENTAL, SPECIAL) OR LOST PROFITS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. All purchases made in GoodPromo are non-refundable. You may cancel your subscription at any time on the GoodPromo dashboard. Your cancellation will take effect at the end of the current paid term.

8. Other Conditions

8.1. The right to access and use the Service may be terminated immediately after you violate any provisions of the Terms.

8.2. If any part or provision of these Terms is found invalid by a court of competent jurisdiction, such invalidity will not invalidate the remaining provisions, and they will continue in effect.

8.3. These Terms are governed by the laws of Ukraine.
